COACHING CLIENT AGREEMENT & TERMS OF SERVICE
The terms that apply to adult one-to-one coaching booked directly with The Thriving Mindset.

Coaching is a non-clinical service for adults aged 18 or over. It does not provide diagnosis, therapy, crisis intervention, legal advice or regulated financial advice. The exact service, price, dates and included materials will be confirmed before payment.
1. About this agreement
This agreement explains the basis on which The Thriving Mindset provides coaching. It should be read with the Booking Confirmation, Public Privacy Notice, any coaching-specific privacy information, Coaching Scope, Safety & Support page, and Complaints, Concerns & Feedback Policy. Together, those documents form the agreement between the client and The Thriving Mindset.
If the Booking Confirmation contains a specific service detail that differs from this document, the Booking Confirmation will apply to that detail, provided it is lawful, fair and clearly agreed before payment.
2. The parties
The service provider is SCW Resources Limited trading as The Thriving Mindset, company number 14817952, registered office 22 Victoria Gardens, Cradley Heath, England, B64 5LX. The public contact email is thethrivingmindset@yahoo.com.
The client is the person named in the Booking Confirmation. Coaching is currently intended only for adults aged 18 or over who are booking for themselves.
3. What coaching is
Coaching is a collaborative, reflective and action-focused conversation. It can help a client recognise a pattern, understand what may be influencing it, reconnect with what matters, choose a practical response, act and review what happened. The Thriving Mindset may use the RURCAR method: Recognise, Understand, Reconnect, Choose, Act and Review.
The client remains responsible for their decisions and actions. The coach provides questions, challenge, reflection, practical tools and accountability. The coach does not take control of the client’s life, make decisions on the client’s behalf or guarantee a particular outcome.
4. What coaching is not
• Medical, psychological, psychiatric, psychotherapeutic or clinical assessment, diagnosis or treatment.
• Counselling, crisis intervention or an emergency response service.
• Legal, regulated financial, debt, investment or tax advice.
• A substitute for an employer’s occupational health, safeguarding or legal responsibilities.
• A promise that burnout, anxiety, low mood, debt, relationship problems or another difficulty will be resolved through coaching alone.
The coach may recommend that the client pauses coaching or seeks support from a GP, registered therapist, occupational health professional, regulated financial adviser, debt adviser, safeguarding service or another suitably qualified professional.
5. The service and what the client receives
The exact service, price, dates, session length, delivery method and any included materials will be set out in the Booking Confirmation. Unless the Booking Confirmation states otherwise, the client receives:
• the agreed number and length of coaching sessions;
• reasonable preparation by the coach and a brief record of agreed actions;
• any worksheets, prompts or resources specifically listed in the Booking Confirmation;
• administrative messages needed to arrange sessions; and
• reasonable signposting where another form of support appears more appropriate.
The service does not include unlimited messaging, out-of-hours support, crisis support, daily monitoring or emergency availability. Messages between sessions are normally limited to administration or a brief agreed check-in.
6. Suitability and eligibility
Before coaching begins, The Thriving Mindset may ask the client to complete an enquiry or suitability form and may arrange a short introductory conversation. Coaching may be declined, postponed or stopped where:
• the client is under 18;
• the client appears to need urgent medical, mental health, safeguarding, legal or regulated financial support;
• the requested work is outside the coach’s competence or the agreed scope;
• the client cannot participate safely or give informed agreement at that time;
• there is a conflict of interest that cannot be managed fairly; or
• the service cannot be made accessible through a reasonable adjustment that is practical and safe.
A decision that coaching is unsuitable is not a judgment about the client. It is a boundary designed to direct the person towards the most appropriate support.
7. Client responsibilities
• Provide accurate information relevant to safe and effective coaching.
• Attend sessions on time and in a private place where they can speak freely and safely.
• Tell the coach if their circumstances, wellbeing, medication, professional support or risk level materially changes.
• Raise concerns, confusion or accessibility needs as early as possible.
• Make their own decisions and take responsibility for agreed actions.
• Treat the coach and other people respectfully and avoid abusive, threatening, discriminatory or sexualised behaviour.
• Seek urgent or specialist help when advised or when the situation requires it.
8. The coach’s responsibilities
• Work within their competence, qualifications, experience and agreed service scope.
• Explain the coaching process, boundaries and foreseeable limitations clearly.
• Listen without unnecessary judgment while offering honest and proportionate challenge.
• Avoid diagnosis, clinical claims, pressure selling and creating dependency.
• Keep appropriate records and protect personal information.
• Maintain professional boundaries and disclose relevant conflicts of interest.
• Pause, refer or escalate where safeguarding, crisis or professional-boundary concerns arise.
9. Booking, price and payment
The price and payment date will be shown before the client commits to the service and confirmed in writing. Payment is normally required before the first session unless the Booking Confirmation states an agreed invoice arrangement.
The Thriving Mindset is not currently registered for VAT. No VAT will be added unless the client is told otherwise before entering into the contract.
A booking is not confirmed until The Thriving Mindset has accepted it in writing, and any required payment has been received. The Thriving Mindset may refuse a booking for a lawful and reasonable reason, including suitability, capacity, conflict of interest or non-payment.
10. Consumer right to cancel
Where a consumer books coaching online, by email or by telephone, they will normally have 14 days from the day after the contract is made to cancel without giving a reason.
If the client asks coaching to begin during the 14-day cancellation period, The Thriving Mindset will obtain an express request. If the client then cancels during that period, they may be charged a proportionate amount for the service already supplied. If the full service is completed during the cancellation period after the client expressly requested early performance and acknowledged that the cancellation right would be lost on full performance, the right to cancel may end once the service is fully supplied.
To cancel, the client can email thethrivingmindset@yahoo.com with “Coaching cancellation” in the subject line or use the model form in Appendix B.
11. Rescheduling, late cancellation and non-attendance
The client should give at least 24 hours’ notice to reschedule a session. Where less than 24 hours’ notice is given, or the client does not attend, the session may be treated as used. The Thriving Mindset may waive this where there is an emergency, illness or another fair reason.
If the client is late, the session will normally still end at the scheduled time. If the coach is late, the client will receive the full agreed session time or an equivalent rearrangement.
12. If The Thriving Mindset cancels
If The Thriving Mindset or the coach must cancel, the client will be offered a reasonable alternative date. If no suitable alternative can be agreed, the client will receive a refund for the cancelled session or the relevant unused part of the package.
13. Ending the coaching relationship
The client may end coaching at any time by written notice. Completed sessions and late-cancelled sessions remain payable. Any unused prepaid sessions will normally be refunded, less any lawful amount for services already supplied or costs clearly agreed in advance.
The Thriving Mindset may pause or end coaching where continued work would be unsafe, unsuitable, outside scope, affected by a serious conflict, repeatedly disrupted by non-attendance or non-payment, or undermined by abusive or boundary-crossing behaviour. Where appropriate, the reason will be explained and proportionate signposting offered.
14. Confidentiality and its limits
Coaching conversations and records are treated as confidential. Confidentiality is important, but it is not absolute. Information may be shared where:
• the client gives clear consent;
• sharing is required by law or a court order;
• there is a reasonable and proportionate concern about immediate or serious harm to the client or another person;
• a child or adult at risk may be experiencing abuse, neglect or exploitation;
• a complaint, insurance matter or legal claim requires limited disclosure; or
• professional supervision is used, in which case identifying information will be minimised wherever practical.
Where it is safe and lawful to do so, the coach will explain the proposed disclosure and involve the client. Only information reasonably necessary for the purpose will be shared.
15. Personal information and records
Personal information will be handled in accordance with the Public Privacy Notice and any coaching-specific privacy information provided before booking. The Thriving Mindset will keep records proportionate to service delivery, payment, safeguarding, complaints and legal obligations. Booking, contract and service administration records may normally be retained for up to six years after the relationship ends where needed for accounting, contract or legal claims. Sensitive coaching notes will be kept to a minimum and retained in line with the applicable privacy information and retention schedule.
The client should not send urgent or highly sensitive information through a general contact form or social media message. The email inbox is not monitored continuously.
16. Remote sessions and technology
Remote coaching depends on suitable technology, privacy and connectivity. The client is responsible for choosing a reasonably private environment and for the security of their own device and connection. If a session is disrupted, the parties will try to reconnect and agree whether to continue, extend or rearrange. The Thriving Mindset is not responsible for failures outside its reasonable control, but will act fairly where the client has not received the agreed service.
Sessions will not be recorded unless both parties give clear written consent in advance, including the purpose, storage, access and deletion arrangements.
17. Results and personal responsibility
Coaching can create clarity, accountability and practical movement, but results vary. The Thriving Mindset does not guarantee employment, recovery, weight loss, improved mental health, financial outcomes, repaired relationships, increased income or any other specific result. The client remains responsible for deciding whether and how to act on the conversation, and for obtaining specialist advice where required.
18. Professional boundaries and contact
• The coaching relationship is professional and is not therapy, friendship, medical care or an emergency service.
• The coach will not enter a romantic or sexual relationship with a current client.
• Social media contact does not create a private coaching relationship and should not be used for confidential disclosures.
• Gifts of more than nominal value should not be offered or accepted.
• The coach may set reasonable limits on the timing, frequency and channel of contact.
19. Intellectual property and permitted use
Books, worksheets, frameworks, prompts, recordings, session materials and branded resources remain the intellectual property of their stated owner. The client may use materials for their own personal, non-commercial purposes. They must not reproduce, sell, publish, teach, upload or distribute them without written permission, except where the law allows.
20. Complaints and feedback
Concerns should be raised as early as possible. The client can email thethrivingmindset@yahoo.com with “Complaint” in the subject line. Complaints will be handled under the Complaints, Concerns and Feedback Policy. Safeguarding and data protection complaints may require a different or faster route.
21. Liability and statutory rights
The Thriving Mindset will provide the service with reasonable care and skill. Nothing in this agreement excludes or limits liability where it would be unlawful to do so, including liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or the client’s statutory consumer rights.
Subject to those protections, The Thriving Mindset is not responsible for losses that were not reasonably foreseeable when the contract was made, losses caused by inaccurate or withheld information, or the client’s independent decisions after coaching. This paragraph must be interpreted fairly and does not remove responsibility for failing to provide the agreed service with reasonable care and skill.
22. Changes to the agreement
Material changes will not be applied retrospectively without a lawful basis and fair notice. If a proposed change materially disadvantages an existing client, the client will be given a reasonable option to end the remaining service and receive any refund that is due.
23. Governing law
This agreement is governed by the law of England and Wales. A consumer may also have mandatory rights in the part of the United Kingdom where they live. The courts of England and Wales will have jurisdiction, without removing any consumer right to bring proceedings elsewhere where the law permits.
24. Acceptance
The client accepts this agreement by signing it, ticking an unchecked acceptance box during booking, or otherwise giving clear written agreement after having the opportunity to read and save the terms. Pre-ticked boxes or silence will not be treated as consent.
Appendix B: Model cancellation form
Complete and return this form only if you wish to cancel the contract during the statutory cancellation period. You may also send a clear cancellation email instead.
